On the last day of July, after approval from the antitrust agency and the signing of the contracts, the acquisition of SecuriCenter – one of the largest distributors of equipment and solutions for the electronic security segment in the country – by Positivo Tecnologia was finalized. Positivo Tecnologia is a publicly-traded company listed on the New Market of B3 (Brazilian Stock Exchange) and regulated by CVM (Securities and Exchange Commission of Brazil), and it’s one of Brazil’s largest developers and manufacturers of hardware-based technology. All legal due diligence and negotiation of the contract and closing terms were carried out by Martinelli Advogados, who represented the buying party.
This was yet another successful M&A (Mergers and Acquisitions) operation carried out by Martinelli, one of the largest law firms in the country. “We provided all the necessary legal support to Positivo Tecnologia for a secure operation, conducting audits, checking contingencies, and drafting the legal instruments for the formalization of the contracts,” says lawyer Guilherme Gama de Oliveira, a specialist in corporate law and M&A, who led Martinelli’s team on the operation.
The acquisition, the value of which is included in the estimated investments of R$ 40 million announced by Positivo Tecnologia on the last 13th of June, intensifies the entry into the electronic automation and security segment, in addition to reinforcing the company’s intention to establish itself as a relevant player in this market.
To ensure that the legal procedures of the negotiation had all the necessary legal security for an operation of such size, the professionals from Martinelli were involved from the very beginning of the process, advising the buyer.
