With the approval from CADE (Administrative Council for Economic Defense) on the last 18th of July, the purchase transaction of VisionFlex, one of the leading companies in Brazil’s labels and tags market, by All4Labels, a multinational packaging solutions manufacturer, was finalized with the signing of the final contracts.
The complete legal counsel for the operation for VisionFlex was provided by Martinelli Advogados, one of the country’s largest law firms, which oversaw the process until its approval by the regulatory body.

The acquisition, of an undisclosed amount, represents the expansion of All4Labels’ presence in the Southeast region, especially in São Paulo, by adding to its business platform the long-standing experience and portfolio of VisionFlex as a packaging company specialized in the food and aviation markets.
Martinelli’s advisory services were comprehensive and included the drafting of preliminary documents, confidentiality agreements, and letters of intent; support during audits; the setup of the Data Room (a consolidated data storage area); and the drafting of final documents, as well as monitoring the transaction with regulatory agencies.
This was yet another successful M&A operation carried out by Martinelli, whose services in the area include Due Diligence, legal audits, tax planning, analysis and definition of the legal structure of operations, and the drafting of necessary instruments for their implementation, purchase and sale contracts, supplementary contracts to the operation, corporate acts, amendments to social contracts, and other matters, in addition to negotiations with regulatory agencies.
