Capital Markets
The Capital Markets sector significantly influences a company’s economic activities but often involves precise, innovative, and complex operations. Hence, it is crucial for a company to have the legal and consultative support of qualified professionals when raising funds in the financial and capital markets, whether through debt issuance such as commercial paper, banking credit notes, or the sale of real estate or agribusiness receivables.
Our firm has over 25 years of experience in corporate law, with a dedicated team serving companies in real estate, agribusiness, industries, financial institutions, and investors in general. We possess technical and practical knowledge of the regulations set by the Brazilian Securities and Exchange Commission (CVM, the regulatory body overseeing the securities market in Brazil). With a multidisciplinary team, we have accumulated years of dedication and experience in the regulation of investment funds, securities offerings, and debt operations to ensure security and efficiency in the legal structuring of fundraising, from signing the proposal, conducting legal due diligence, to the signing and financial disbursement.
Our advisory services cover the following areas:
We assist in public and private offerings of corporate bonds (debentures, unsecured debt instruments), promissory notes (written promises to pay a specific amount), senior and mezzanine fund quotas (senior quotas being the most secure, and mezzanine quotas offering higher returns with higher risk), representing both issuing companies and investment banks, securitization companies, asset managers, and brokerage firms.
We provide legal support in receivables securitization (converting receivables into securities sold to investors) across all sectors, supporting companies in structuring various investment funds – such as private equity funds (FIPs), credit rights funds (FIDCs), real estate funds (FIIs), and agribusiness chain funds (Fiagro). We also assist in issuing agribusiness receivables certificates (CRA) and real estate receivables certificates (CRI).
We have expertise in the regulation of financial and capital markets, particularly the rules issued by the National Monetary Council (CMN, which formulates monetary and credit policies), the Central Bank of Brazil (Bacen, responsible for maintaining economic stability), and the Brazilian Securities and Exchange Commission (CVM). We advise public companies, financial institutions, asset managers, and other players on operations involving compliance with rules issued by regulatory and self-regulatory bodies.
